Disputes: Any dispute arising out of or relating to this Promotion will be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration will be conducted in the English language and will take place in the County of New York, State of New York, United States of America. The arbitrator will apply the laws of the State of New York, without regard to its conflict of laws principles, and will render a reasoned award in writing. The arbitrator will have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, conscionability, or formation of these Terms and Conditions, including, but not limited to any claim that all or any part of these Terms and Conditions is void or voidable. The arbitrator will also be responsible for determining the validity and enforceability of any provision of these Terms and Conditions. The arbitrator will have the authority to award monetary damages and to grant an injunction, specific performance, or other equitable relief as may be permitted by applicable law, but will not have the authority to award punitive, exemplary, consequential, treble, or other multiplied damages, or any other damages except for out-of-pocket expenses. Each party will bear the expense of its own counsel, experts, witnesses and preparation and presentation of evidence at the arbitration hearing. The parties agree that any arbitration will be conducted on an individual basis and that class arbitrations and class actions are not permitted. Each party further agrees that any arbitration will be limited solely to the controversy between the parties and will not be consolidated with any other arbitration. The parties agree that the arbitrator will have no authority to combine or aggregate any claims or to conduct any class arbitration or class proceeding. The parties agree that the arbitrator will have no authority to vary, alter, modify, enlarge, diminish, delete, or disregard any of the provisions of these Terms and Conditions. The parties agree that the arbitrator will have no authority to create any new terms or provisions. The parties agree that the arbitrator will have no authority to make any award that is inconsistent with the provisions of these Terms and Conditions. Assignment: These Terms and Conditions are personal to you and may not be assigned, transferred, conveyed, or licensed by you in any manner whatsoever without the prior written consent of Sponsor, and any attempt by you to assign, transfer, convey or license these Terms and Conditions shall be null and void. Sponsor may assign, transfer, convey, subcontract or delegate any or all of its rights, duties or obligations hereunder without restriction.
Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law.
Headings: The section headings used herein are provided for convenience only and shall not be used to construe these Terms and Conditions.
